Pro Studio CRM
Customer Subscription and Services Agreement
Effective November 6, 2026 | US business customers | Version 2026-11-06.1
This Agreement governs business use of Pro Studio CRM and related setup services supplied by Trussted Roofing LLC, operating Pro Studio CRM ("Provider," "we," or "us") to the business identified below ("Customer" or "you"). Pro Studio CRM is a service name of Provider, not a separate contracting entity.
The customer-specific Order Summary, these terms, the Setup Scope and the DPA form the Agreement. The Order Summary displayed at signing identifies the customer, fees, scope, dates and document versions. Provider contact: prostudiocrm@gmail.com; 711 Dartmouth Dr, Island Lake, IL 60042.
Customer-specific Order Summary
The completed Order Summary is displayed above the signing controls and included in the signed copy. Blank, undisclosed or future charges are not authorized.
Automatic renewal: A paid subscription renews monthly until canceled. The setup fee is separate. Trial conversion, recurring charges, and any immediate upgrade charge must be expressly disclosed and authorized. Cancellation is available through Billing or by emailing prostudiocrm@gmail.com. See Sections 3 and 9.
Formation and commercial terms
1 Agreement and authority
The Agreement becomes effective when an authorized representative of Customer affirmatively accepts the completed Order Summary and this identified version of the Agreement. The representative confirms authority to bind Customer and that the service is purchased for business purposes. Acceptance does not itself authorize collection of an undisclosed fee. Required setup payment and subscription payment authorization occur separately after acceptance.
A signed addendum controls only where it expressly changes these terms. The Order Summary controls pricing, user limits, dates, and agreed scope; these terms govern other matters. A later proposal, purchase order, or invoice does not change liability limits or other legal terms unless both parties expressly agree in writing. An uncompleted required field is not authorization to choose a price or term for Customer.
2 Access and setup services
During the applicable term, Provider grants Customer a limited, nonexclusive, nontransferable right to use the hosted service for its internal business operations through the approved number of individual users. Features may include customer records, estimating, documents, scheduling, and integrations as identified in the Order Summary. Customer is purchasing service access, not ownership of the platform or a perpetual software license. Siding estimates are not supported by this program. A setup fee, configuration request or custom crew category does not create a promise of siding-estimate functionality.
Included setup assistance. The one-time setup fee includes hands-on assistance with the customization identified in the accepted Setup Scope, including adding crews and supplier accounts, configuring supported fields and questionnaire questions, and setting up proposal and job-card templates. Work is limited to the agreed scope and existing supported capabilities unless custom development is expressly included. Unlimited configuration changes within the originally disclosed and accepted setup scope are included during the first 30 days. This is not unlimited new scope, unsupported development or ongoing account administration.
Pricing and disclosed scope. The setup fee is based on the information Customer disclosed before the quote, including the number and types of crews, supplier accounts, items, fields, questions and document requirements. Additional crews or items, or other requirements beyond that disclosed scope, may require a revised setup fee even during the first 30 days. Provider will explain the added scope and disclose a revised price in a written change order. Customer must approve the added scope and price before billable work begins or any additional payment is requested. The original scope and price remain in effect if Customer declines the additional work. No retroactive or automatic increase is authorized.
Thirty-day setup period. Included setup assistance is available for 30 consecutive calendar days beginning on the kickoff date agreed in writing after required setup payment and receipt of the information reasonably needed to begin. The Order Summary states the kickoff date and exact end date, time, and time zone. An upgrade does not restart this period unless expressly agreed. Requests within the agreed scope received before the deadline remain eligible for completion on a reasonable agreed schedule, even if completion occurs afterward. Provider-caused delays extend the affected assistance period reasonably; Customer-caused delays do not automatically extend it, but the parties may agree an extension in writing.
Ongoing product support. While Customer maintains an eligible active account, support remains available to explain how the product works and assist with troubleshooting. Included product support does not require Provider to perform routine account maintenance, repeated data entry, or configuration changes for Customer. No 24-hour availability, particular response time, unlimited training, or dedicated support representative is promised unless stated in a signed service-level agreement.
Self-service and additional work. After the setup period, Customer is expected to use available self-help tools and instructions for routine tasks such as adding or updating crews, suppliers, materials, fields, and questions. Provider may direct Customer to relevant instructions and may offer limited hands-on assistance at its discretion. Assistance on one occasion does not create an obligation to provide ongoing free configuration services. Additional customization, extensive training, bulk entry, imports, or repeated configuration work requires a written quote or change order accepted before billable work begins. No additional charge arises merely because a support request was submitted.
Reasonable support use. Customer should combine related questions, avoid duplicate tickets, provide reasonably requested diagnostic information without passwords or unnecessary personal data, and designate a primary contact when appropriate. For repetitive requests that can reasonably be completed using available self-help instructions, Provider may consolidate tickets, provide one coordinated response, or propose scheduled training or a paid service. Provider will consider the nature and complexity of the issue and explain the available path forward. This policy does not prevent reporting suspected defects, outages, billing issues, accessibility barriers, security incidents, or privacy requests, and does not condition their review on purchasing additional services.
Scope and corrections. Additional development, integrations, migration cleanup, or changed requirements outside the accepted scope require an approved change order identifying fees and timing. Provider will correct reproducible deviations from the agreed setup scope reported within 30 days after delivery without an additional setup charge. Expiration of setup assistance does not eliminate this correction obligation or ordinary troubleshooting support. Customer must supply accurate information, necessary permissions, timely decisions, and approvals.
3 Fees and payment authorization
Setup: The one-time fee is due as stated in the Order Summary. Before setup work begins, cancellation entitles Customer to a refund of the setup fee. After work begins, Provider may retain the portion allocated to completed milestones and disclosed, nonrecoverable third-party costs, up to the setup fee; the balance will be refunded. The scope must identify milestone values before work starts. No unlimited or unstated hourly cancellation charge is authorized.
Monthly billing: Monthly fees are charged in advance on the disclosed subscription start date and each monthly renewal date until canceled. Paying the setup fee alone does not enroll Customer in recurring billing. Unless a different start condition is expressly accepted, the subscription begins when the workspace is ready and Customer completes subscription checkout. Fees, included users, taxes, and any separate charges must be shown before authorization. No annual commitment applies unless separately and expressly accepted.
Free accounts and trials: A free account has no recurring fee unless Customer accepts a paid order. Any trial offer must state its end date, time zone, cancellation deadline, post-trial price, and whether automatic billing is authorized. Without affirmative recurring-payment authorization, trial expiry does not authorize a charge. Where conversion is authorized, Provider will send a reminder at least seven days before the first charge, or any longer notice required by law. A shorter trial requires a clear reminder before its cancellation deadline.
Upgrades and grace: An upgrade requires Customer approval and confirmed payment before increased paid access takes effect. An immediate mid-cycle upgrade charge is the unused-period cost of the new plan less the corresponding unused-period credit for fees already paid, plus applicable tax; the exact amount must be disclosed first. On conversion from free access or expiry of a trial, Customer has three calendar days after the disclosed payment due time to complete payment before access may be disabled. A notice will identify the exact deadline. This grace period does not authorize billing without consent or activate an unpaid upgrade.
Customer responsibilities and ownership
3 Fees and payment authorization continued
Changes and disputes: Customer-approved additions may change charges as disclosed. Other recurring price increases take effect only at a future renewal after at least 30 days' advance notice and an opportunity to cancel. Provider will not impose a retroactive price increase. Report a suspected billing error promptly so it can be investigated; this request does not shorten nonwaivable dispute or payment rights. Customer remains responsible for undisputed authorized charges. Taxes legally payable by Customer are additional; Provider remains responsible for taxes on its own income.
Processor: Payment details are submitted through the designated payment processor under its applicable terms. Customer confirms authority to use the selected payment method and must keep billing information current. Provider may seek payment of authorized unpaid amounts, but does not obtain permission for unrelated charges, penalties, or an undisclosed new subscription.
4 Customer review and business decisions
Customer is responsible for the accuracy, completeness, rights, and currency of information it enters or imports, including roof reports, field measurements, supplier prices, labor rates, taxes, waste factors, markup, customer details, and crew availability. Before sending a proposal, ordering materials, signing a contract, taking a payment, or scheduling work, Customer must independently check the resulting quantities, prices, scope, dates, recipients, and documents.
Report extraction, calculations, templates, automation, and AI-assisted answers are aids that can contain errors or omissions. Customer must obtain necessary professional review and verify important results against original records and site conditions. The service does not replace field inspection, code review, legal advice, accounting advice, engineering judgment, insurance advice, or required licensing. Customer is responsible for its own contracts with property owners, suppliers, crews, and other parties, and for the construction work it performs or arranges. This allocation does not excuse Provider from its express obligations or liability that cannot lawfully be excluded.
5 Accounts and acceptable use
Customer administers its users, permissions, and account access; must use separate credentials for each authorized user; and must promptly remove former users and report suspected unauthorized access. Customer is responsible for actions of its authorized users and for misuse resulting from its failure to use reasonable credential safeguards. Provider remains responsible for its own security obligations.
Customer must not use the service to commit fraud, send unlawful or unsolicited messages, infringe rights, upload malicious software, bypass account restrictions, disrupt other accounts, or access another business's data. No resale, sublicensing, scraping of protected platform content, or reverse engineering is permitted except to the extent a restriction is prohibited by law. Reasonable security testing requires Provider's prior written authorization. These restrictions do not prevent lawful export and use of Customer's own data.
6 Platform and customer materials
Provider retains rights in its software, reusable templates, workflows, documentation, methods, and improvements, including reusable components created during setup. Customer retains rights in its data, branding, uploaded documents, and preexisting materials. Payment of a setup fee does not transfer source code or exclusive ownership of a workflow. Customer may continue to use its exported proposals, job cards, and business records after termination. Different ownership terms require a signed addendum.
Customer permits Provider to process and display its materials only as needed to provide, secure, support, and administer the service and fulfill lawful obligations. Provider may use voluntarily supplied product suggestions without a payment obligation, but not to disclose Customer confidential information or take ownership of Customer data. Using Customer's name, logo, or testimonial in marketing requires separate permission.
Data and connected services
7 Customer data and confidentiality
Each party will protect the other's nonpublic business information with reasonable care and use it only to perform or enforce the Agreement. Disclosure is limited to personnel and service providers with a need to know who are subject to suitable confidentiality duties, or as legally required. Information independently developed, lawfully obtained without restriction, or public through no breach is excluded. If legally permitted, the receiving party will give notice before a compelled disclosure and reasonably cooperate in seeking protection.
Customer determines the business purposes for processing its homeowner, employee, and other contact records and must obtain required notices, permissions, and lawful grounds for collection and communications. Provider processes those records to supply and support the service on Customer's documented instructions. Provider will not use Customer's homeowner records, pricing, or leads to solicit roofing work for itself or another contractor. Provider will not sell those records or use them for unrelated advertising.
Provider will maintain reasonable administrative, technical, and organizational safeguards appropriate to the information processed and restrict access for support and service operations. No system can promise absolute security. On confirming unauthorized access to Customer personal data in Provider's control, Provider will notify Customer without undue delay, provide reasonably available material information, and cooperate in response as required by law. Customer must also notify Provider promptly of suspected account compromise. Neither party's statutory duties are eliminated by this Agreement.
The completed Data Processing Addendum and its verified Annexes, identified in the accepted Order Summary, are incorporated into this Agreement. The DPA controls conflicts concerning Customer Personal Data. The Setup Scope governs the agreed setup deliverables and assistance window. Provider supplies its Privacy Notice for transparency; acknowledging its receipt is not a blanket consent to optional marketing, unrelated processing, or future changes. The published document version and customer-specific order are retained with the acceptance record.
Do not upload payment-card security codes, account passwords, Social Security numbers, medical records, biometric identifiers, or other highly sensitive regulated information unless a separate written arrangement specifically permits it. Payment-card information belongs in the processor's payment form, not CRM notes or attachments. Customer should keep independent copies of records it is legally or operationally required to retain. Provider's responsibilities are not replaced by that backup recommendation.
8 Integrations and communications
Customer controls whether to connect payment, calendar, email, measurement-report, AI, and other third-party services. Their availability, fees, usage limits, and separate terms may change. Customer authorizes transmission of data reasonably necessary for the selected integration, subject to applicable privacy obligations. Provider does not promise that an outside service will always remain available or that a message, payment request, calendar entry, or external update will be delivered or accepted.
Customer must verify recipient information, dates, delivery status, and synchronization, and obtain any legally required communication consent. Acceptance of this Agreement is not consent from Customer's contacts to receive advertising, automated calls, or text messages. Customer must honor opt-outs and applicable communication rules. Optional marketing consent for Provider's own communications must be obtained separately from service acceptance when required.
If Customer uses AI-assisted features, relevant prompts and content may be processed by the disclosed AI provider to deliver the feature. Customer must avoid unnecessary sensitive data and review generated content before use. Provider will not authorize training of a general-purpose model on identifiable Customer content without separate permission. Available usage limits and included capabilities are those disclosed for the selected plan; future capabilities are not promised.
Cancellation and allocation of risk
9 Cancellation suspension and data return
Customer may stop automatic renewal at any time through the available Billing cancellation function or by emailing prostudiocrm@gmail.com from an authorized account contact. A request received before the renewal charge is initiated stops that renewal. Provider will acknowledge the request; delayed acknowledgment does not invalidate a timely request. Access ordinarily continues through the paid period. Merely ceasing use, uninstalling a shortcut, or deleting a user does not cancel the subscription.
Except for required legal refunds or the express remedies here, monthly fees already paid are not prorated for voluntary mid-period cancellation. No future renewal fees become due after effective cancellation. Provider may terminate for convenience on 30 days' notice and will refund any prepaid subscription fees for service after termination and any unearned setup fees. If Provider materially breaches and does not cure within 30 days after specific written notice, Customer may terminate and receive the same applicable refunds.
Provider may restrict access reasonably necessary to address a security threat, unlawful use, or material breach, and will notify Customer when legally and reasonably practicable. For nonpayment, Provider will give notice and honor the three-day grace period for free-account conversion and trial expiry described in Section 3. Other overdue subscription payments receive at least three calendar days' notice before suspension. Immediate action remains available for fraud, serious security risks, or legal requirements. Suspension does not create permission for new unauthorized charges.
Customer may request a standard export of available Customer data within 30 days after termination. Provider will maintain the data for that request period, subject to lawful deletion instructions, and reasonably assist with a standard available export without an additional export fee. Bespoke migration or conversion requires an agreed fee. After that period, Provider will delete operational copies within a further 30 days and residual backups within 90 days after operational deletion, except limited retention required for lawful recordkeeping, security or dispute resolution. The DPA governs processing and deletion details. Retained copies remain protected and are not available for continued business use. This does not guarantee recovery of data previously deleted by Customer or lost before the request.
10 Availability and warranty limitations
Provider will use commercially reasonable efforts to operate and support the service and correct material reproducible defects. Maintenance, network issues, emergencies, and outside-service failures can cause interruptions. There is no guaranteed uptime percentage, response time, disaster-recovery period, sales result, profitability, or uninterrupted access unless expressly agreed in a separate service-level commitment.
EXCEPT FOR EXPRESS PROMISES IN THIS AGREEMENT AND RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED, THE SERVICE IS PROVIDED AS AVAILABLE. PROVIDER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW. PROVIDER DOES NOT WARRANT THAT EVERY CALCULATION, IMPORT, AI RESULT, OR GENERATED DOCUMENT WILL BE ERROR-FREE OR SUITABLE FOR CUSTOMER'S PARTICULAR TRANSACTION.
11 Limitation of liability
TO THE EXTENT PERMITTED BY LAW, PROVIDER WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION. PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING FROM THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF USD 250 OR THE TOTAL SETUP AND SUBSCRIPTION FEES CUSTOMER PAID PROVIDER IN THE TWELVE MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM. RELATED CLAIMS SHARE ONE LIMIT; MULTIPLE USERS OR CLAIMS DO NOT MULTIPLY IT.
These limitations apply across contract, negligence, and other legal theories, even if a potential loss was foreseeable. They do not limit liability for Provider's fraud, willful misconduct, gross negligence, or any liability that applicable law prohibits limiting. They do not prevent Customer from receiving an express refund due under this Agreement. The parties intend these provisions to allocate ordinary commercial risk, not waive nonwaivable legal rights.
Claims and general provisions
12 Third party claims
Customer will defend Provider and its personnel against third-party claims caused by Customer's unlawful construction activities, infringement by Customer-supplied content, unlawful communications, or intentional or material violation of Section 5, and pay resulting damages finally awarded or settlements Customer approves, together with reasonable defense costs. This obligation does not apply to the extent a claim results from Provider's breach, negligence, misconduct, or unauthorized modification of Customer content. It is not a waiver of Customer's direct claims against Provider.
Provider must promptly notify Customer of a covered claim, reasonably cooperate at Customer's expense, and allow Customer to control the defense using qualified counsel. A delayed notice reduces Customer's obligation only to the extent it materially prejudices the defense. No settlement may admit fault, impose nonmonetary obligations, or fail to release Provider without Provider's reasonable written consent. Provider may participate through separate counsel at its own expense.
13 Disputes and applicable law
Before filing an ordinary contractual claim, either party will send a written notice describing the dispute and requested resolution and allow 30 days for good-faith discussions. This process does not bar urgent relief to prevent ongoing harm or a filing needed to preserve a legal deadline. It is not mandatory arbitration and does not waive access to small-claims court where available.
Illinois law governs the Agreement, without regard to conflict-of-law rules, together with applicable federal law. Subject to nonwaivable jurisdiction and venue requirements, the parties consent to courts of competent jurisdiction located in Illinois for disputes arising from this Agreement. Each party bears its own legal fees except where a statute, a court order authorized by law, or Section 12 provides otherwise. Nothing restricts lawful reports to regulators, cooperation with investigations, or truthful reviews.
14 Notices and changes
Provider's agreement and cancellation contact is prostudiocrm@gmail.com. Customer's notice contact is the business email in the accepted Order Summary. Each party must keep its contact information current. A notice is effective when delivered to the designated address without a delivery-failure report; a support acknowledgment provides additional evidence but is not required for a timely cancellation. Provider's postal notice address is 711 Dartmouth Dr, Island Lake, IL 60042.
Provider may propose prospective changes on at least 30 days' notice. Material changes to payment authorization, liability allocation, or dispute procedures require affirmative acceptance before they apply to Customer. Changes do not govern an already-arisen dispute retroactively. If Customer declines, the existing terms continue through the current paid period, and Provider may elect not to renew on notice. Changes required by law may take effect as legally necessary with notice as soon as practicable.
15 General terms
The Agreement is the entire agreement for the ordered service and replaces prior discussions on that subject. No salesperson's informal statement creates an uptime guarantee, promised result, perpetual license, or additional scope. Any permitted assignment must preserve the assigning party's obligations; neither party may transfer the Agreement to evade payment, confidentiality, or data-protection duties. Provider may assign it with the service business on notice if the successor assumes those obligations.
The parties are independent businesses. No employment, partnership, agency, or joint venture is created. A failure to enforce a term is not a permanent waiver. If a provision is unenforceable, it will be limited only as permitted by law and the remaining terms remain effective. Payment amounts already earned, ownership, confidentiality, lawful retention, indemnity, liability limitations, and dispute provisions survive termination as their purpose requires.
Neither party is responsible for delay caused by events outside its reasonable control if it takes reasonable steps to mitigate and resume performance. This does not excuse sums already due, required refunds, data-protection duties that remain legally applicable, or failure to maintain reasonable security. After a material interruption lasting 30 consecutive days, Customer may end the affected service and receive a refund of prepaid fees for the unused affected period.
16 Electronic acceptance
Customer can accept the complete Order Summary, this Agreement, the Setup Scope, and the DPA with its Annexes using one typed electronic signature. Customer confirms authority to bind the named business, consents to electronic contracting for the presented order, checks the agreement box, and deliberately selects the signing button. Customer can read and download each document before signing. Receipt of the Privacy Notice is not consent to optional marketing.
Provider keeps the accepted document version, exact order and fees, signer name, role, intended contact email, consent selections and acceptance timestamp, with reasonable signing-link and technical evidence. A signing link is confidential; the recipient must not forward it to an unauthorized person. Possession of a link alone is not conclusive proof of a person's identity. Provider supplies a downloadable signed copy and sends a copy to the designated customer email. Later revisions require new acceptance and do not overwrite earlier records.
Signing precedes payment. Setup payment does not itself enroll Customer in recurring billing. At monthly enrollment, Customer separately authorizes the displayed monthly amount, tax treatment, first-charge timing, any trial and recurring renewal until canceled. If terms or prices change, Customer must review and accept the new order. No undisclosed or unrelated charge is authorized. An alternative signing method may be requested at prostudiocrm@gmail.com before signing.
